Terms and Conditions of Sale
Alkin Compressors Inc.
1. General
These Terms and Conditions (“Terms”) govern all sales of products and services by Alkin Compressors Inc. (“Seller”) to the purchaser (“Buyer”). By placing an order, Buyer agrees to these Terms in full.
2. Payment Terms

Late payments are subject to 1.5% per month (18% annually) or the maximum allowed by law

Seller reserves the right to suspend orders, shipments, or warranty support for overdue accounts
3. Pricing & Quotations

All quotations are valid for 60 days, unless otherwise stated in writing

Prices are firm and include applicable tariffs and known supply chain costs at time of quotation

Seller reserves the right to correct clerical or typographical errors
-
No additional charges will be applied for tariff changes or supply chain fluctuations after order confirmation
4. Shipping Terms & Risk of Loss

All shipments are EXW (Ex Works):

Title and ownership transfer to Buyer upon shipment

Buyer is solely responsible for:

Freight arrangements

Freight damage claims

Insurance (unless purchased separately through Seller)

Freight Inspection Requirement:

Buyer must inspect shipment at time of delivery, including opening packaging

Any visible damage must be:

Noted on delivery receipt or

Shipment refused

Failure to do so voids any freight damage claims
Freight Insurance:

Optional freight insurance is available upon request

Buyer must request and approve cost prior to shipment
5. Returns & Cancellations

Returns accepted within 30 days of delivery

Subject to:

15% restocking fee

Product must be unused and in original packaging

Custom orders are non-returnable and non-cancellable

Shipping costs are non-refundable
6. Warranty

Standard warranty: 2 years on complete systems (unless otherwise specified)

Certain components (e.g., electronics) may carry 1-year warranty
-
OEM/custom systems may have parts-only warranty (1–2 years depending on project)
Warranty Conditions:

Valid only if:

Equipment is properly installed
-
Start-up/commissioning form is completed and approved
-
Proper maintenance is performed
-
Warranty is VOID if:
-
Improper installation or commissioning
-
Lack of maintenance or use of non-approved parts
-
Misuse, abuse, or operation outside design limits
-
Contaminated intake air or improper filtration
-
Overheating due to poor ventilation
-
Unauthorized modifications or repairs
-
Operation without required safety devices
-
Failure to follow manuals, OSHA, NFPA, or CGA standards
-
Electrical issues (incorrect voltage, phase, grounding, etc.)

7. Installation & Site Responsibility

Buyer / Distributor is fully responsible for:

Site readiness
-
Electrical, ventilation, and foundation requirements

Seller is not responsible for issues arising from improper site conditions
8. Product Use & Compliance

Buyer is responsible for ensuring proper use and compliance with:

OSHA
-
NFPA
-
CGA
-
All applicable local, state, and federal regulations
-

Buyer is responsible for:
-
Air quality testing
-
Routine maintenance
-
Safe operation of equipment
-
9. Limitation of Liability (CRITICAL)
To the maximum extent permitted by law:

Seller’s total liability is strictly limited to the purchase price of the product

Seller shall NOT be liable for:
-
Loss of profits
-
Business interruption
-
Downtime
-
Loss of use
-
Personal injury
-
Property damage
-
Indirect, incidental, or consequential damages
-
This limitation applies regardless of:
-
Cause of action (contract, negligence, strict liability, etc.)
-
Whether Seller has been advised of potential damages
10. Indemnification
Buyer agrees to defend, indemnify, and hold harmless Seller from any claims, damages, or
liabilities arising from:
• Improper installation or use
• Failure to follow safety standards
• Unauthorized modifications

11. Breathing Air & Safety Disclaimer
Buyer acknowledges that breathing air compressors and related systems are used in life-support applications and require proper installation, operation, and maintenance.
Buyer agrees that it is solely responsible for:

Ensuring intake air is free from contaminants, including but not limited to carbon monoxide (CO), hydrocarbons, and other hazardous gases
-
Proper placement of compressor intake away from exhaust sources, engines, or enclosed environments
-
Routine inspection, maintenance, and timely replacement of all filters and purification components
-
Performing regular air quality testing in accordance with applicable standards
-
Ensuring all operators are properly trained and qualified
-
Seller does not guarantee air quality under all operating conditions and shall not be responsible for contamination caused by environmental conditions, improper installation, lack of maintenance, or misuse of the equipment.
12. CO Monitoring & Risk Acknowledgment
Buyer understands that carbon monoxide (CO) and other contaminants may be present in ambient air and can enter the compressor system if proper precautions are not taken.
Buyer acknowledges that:

CO monitoring systems are recommended but do not eliminate all risk
-
Failure to properly maintain or operate monitoring systems may result in undetected contamination
-
The ultimate responsibility for safe breathable air rests solely with the Buyer and end user
Seller shall not be liable for any injury, damage, or loss resulting from contaminated air, including but not limited to carbon monoxide exposure.
13. High Pressure Systems & Cylinder Safety Disclaimer
Buyer acknowledges that high-pressure air systems, including SCBA and SCUBA cylinder filling operations, involve inherent risks, including but not limited to equipment failure, over-pressurization, and potential personal injury or death.
Buyer agrees that it is solely responsible for:

Ensuring all cylinders (SCBA, SCUBA, or other pressure vessels) are:
-
Within valid hydrostatic test dates
-
Properly maintained and visually inspected
-
Rated for the intended pressure
-

Verifying that all cylinders, valves, and associated components are in safe working condition prior to filling
-
Ensuring that cylinders are not overfilled beyond their rated pressure
-
Proper use of fill stations, regulators, and pressure controls
-
Compliance with all applicable safety standards, including but not limited to OSHA, NFPA, CGA, and DOT regulations
Over-Pressurization & Safety Devices
Buyer acknowledges that safe operation depends on proper functioning and maintenance of all safety components, including but not limited to:

Pressure relief valves
-
Burst disks
-
Regulators
-
Gauges and control systems
Failure, misadjustment, bypassing, or lack of maintenance of any safety device may result in over-pressurization, equipment failure, or personal injury.
Limitation of Responsibility
Seller does not manufacture or control third-party cylinders and shall not be responsible for:

Failure of any cylinder, valve, burst disk, or related component
-
Use of out-of-date, damaged, or improperly rated cylinders
-
Over-pressurization caused by operator error, equipment misuse, or failure to follow procedures
-
Injury or damage resulting from cylinder rupture, burst disk failure, or improper filling practices
Ultimate Responsibility
Buyer and end users assume full responsibility for:

Safe operation of all high-pressure systems
-
Proper training of personnel
-
Implementation of safety procedures and use of appropriate containment systems
To the maximum extent permitted by law, Seller shall not be liable for any injury, damage, or loss arising from the use or misuse of high-pressure systems or cylinders.
14. Intellectual Property
All drawings, specifications, manuals, and technical data remain the exclusive property of Seller
and may not be copied, distributed, or used without written consent.
15. Governing Law
These Terms shall be governed by the laws of the State of New Jersey.
Any disputes shall be resolved in the courts of New Jersey
16. Entire Agreement
These Terms constitute the entire agreement between Seller and Buyer and supersede all prior agreements or understandings.
